By creating a ProQuote account or using any part of the Service, including tools that do not require an account, you agree to these Terms of Service. If you do not agree, do not use the Service. If you use ProQuote on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.
ProQuote is a web-based estimating, invoicing, payment-workflow, and job-administration platform for independent contractors and trade businesses. Depending on your plan and configuration, the Service may include estimates, customer approvals, invoices, online payments through Stripe, customer records, photos, expenses, time tracking, change requests or change orders, recurring or milestone billing, reminders, exports, reports, and related tools. ProQuote also offers certain tools that may be used without an account.
Features, limits, availability, and plan placement may change as the Service develops. We will provide any notice required by applicable law before a change takes effect.
You must not use ProQuote to impersonate a business you do not own or represent, create fraudulent or misleading documents, submit unlawful payment requests, or otherwise misuse the Service. We may investigate suspected misuse and take reasonable steps to protect users, customers, ProQuote, and third parties.
You must provide accurate information when creating and maintaining an account. You are responsible for safeguarding your credentials and for activity under your account to the extent permitted by law. Notify us promptly if you believe your account has been accessed without authorization. You may not share credentials in a way that defeats account or plan restrictions.
ProQuote offers a Free plan and paid Basic and Pro plans. Current pricing, limits, and included features are shown in the Service. Free-plan limits may change as the Service evolves. Paid-plan pricing may be changed prospectively with notice required by applicable law and, for existing subscribers, any additional notice we choose to provide. A change in plan features does not affect amounts already charged for a completed billing period.
Basic and Pro subscriptions are billed in advance through Stripe on the billing interval shown at checkout. By subscribing, you authorize recurring charges until you cancel. Stripe processes subscription payments and may apply its own terms to your use of its payment services.
You may cancel a paid subscription at any time. Unless applicable law requires otherwise, cancellation takes effect at the end of the then-current paid billing period and paid features remain available through that period. Subscription fees are generally non-refundable for partial billing periods except where required by law or where we determine that a billing error or duplicate charge occurred. Nothing in these Terms limits refund, cancellation, or consumer rights that cannot lawfully be waived.
If a subscription payment fails, Stripe or ProQuote may retry the charge. Paid features may be limited or the account may return to the Free plan if the payment remains unresolved.
Contractors may connect an eligible Stripe account so their customers can pay invoices online. Customer invoice payments are processed through the contractor's connected Stripe account. Stripe controls payment processing, payout timing, supported payment methods, disputes, chargebacks, refunds, reserves, and other payment-service matters under the contractor's agreement with Stripe. ProQuote is not a bank, money transmitter, card network, or payment processor.
ProQuote currently does not add a percentage-based transaction fee to customer invoice payments. Stripe's applicable processing, dispute, refund, or other fees may still apply and can change independently of ProQuote.
ProQuote provides tools for creating, sending, approving, revising, and storing business records. You are responsible for the accuracy, legality, tax treatment, pricing, scope, terms, and enforceability of documents you create or send. ProQuote does not provide legal, tax, accounting, licensing, or construction advice, and does not guarantee that an electronic approval, estimate, invoice, change order, or other record will satisfy every legal requirement that may apply to your business, location, trade, transaction, or customer.
Where ProQuote records an approval, signature, timestamp, delivery event, view event, payment event, or document snapshot, that record reflects information captured by the Service. It is not a guarantee of identity, authority, enforceability, collectability, or the absence of a later dispute.
You agree not to use the Service to:
You retain ownership of the content and business data you submit to ProQuote. You grant ProQuote the limited rights necessary to host, process, transmit, back up, secure, and otherwise use that data to provide, maintain, protect, and improve the Service as described in these Terms and our Privacy Policy.
You are responsible for having any notices, permissions, legal bases, or consents required to enter, store, use, and contact your customers through ProQuote. If you process personal data on behalf of your customers, our Data Processing Agreement may also apply.
Export capabilities vary by plan. Current export options are shown in the Service. Cancelling a paid subscription does not delete your account; after the paid period ends, the account ordinarily continues on the Free plan.
If you request account deletion in Settings, the account is placed into a deletion grace period. During that period you may be able to reactivate by signing in. After the grace period, ProQuote is designed to delete or de-identify account data associated with the account, subject to limited records we may retain when reasonably necessary for security, fraud prevention, legal compliance, dispute handling, tax or accounting obligations, backup-cycle completion, or to establish or defend legal claims. Retained information remains subject to our Privacy Policy and is not kept longer than reasonably necessary for the applicable purpose.
ProQuote, including its software, design, branding, and other materials provided by us, is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no ownership right is transferred to you. Your estimates, invoices, customer records, photos, notes, and other content remain yours or your licensors'.
The Service relies on third-party providers, including providers for hosting, database services, email, error monitoring, analytics, and payments. Their services may be governed by separate terms and may experience outages, restrictions, or changes outside ProQuote's control. ProQuote is not responsible for a third party's independent acts or omissions except to the extent responsibility cannot lawfully be excluded.
We work to keep ProQuote available and reliable, but we do not guarantee uninterrupted, error-free, or permanently available service. Maintenance, security events, internet failures, third-party outages, legal requirements, or other conditions may interrupt or change availability. We may modify, suspend, or discontinue features when reasonably necessary, subject to any notice or rights required by applicable law.
We may suspend or terminate access if you materially violate these Terms, create security or fraud risk, fail to resolve required subscription payment, misuse customer communications or payments, or if suspension is reasonably necessary to comply with law or protect ProQuote or others. Where reasonably practicable and legally permitted, we will attempt to provide notice of a non-emergency suspension and an opportunity to address the issue.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PROQUOTE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED. We do not warrant that the Service will be uninterrupted, error-free, meet every legal or business requirement, prevent every security incident, or result in payment or collection of any invoice.
Some jurisdictions do not allow certain warranty exclusions, so some of the exclusions above may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROQUOTE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROQUOTE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROQUOTE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
These limitations do not apply to liability that cannot lawfully be limited or excluded, including where applicable liability arising from fraud, willful misconduct, gross negligence, or other non-waivable rights.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ProQuote and its operators from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the Service, your content, your violation of these Terms, or your infringement or violation of another person's rights. This obligation does not require you to indemnify ProQuote for ProQuote's own fraud, willful misconduct, gross negligence, or liability that cannot lawfully be shifted to you.
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules, except to the extent applicable law gives you non-waivable rights under another jurisdiction's law.
Before filing a formal claim, you and ProQuote agree to try in good faith to resolve the dispute informally for 30 days after written notice. If the dispute is not resolved, then, to the extent permitted by applicable law, it will be resolved by binding arbitration on an individual basis administered under the applicable rules of the American Arbitration Association. Either party may bring an eligible individual claim in small claims court instead.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PROQUOTE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR ARBITRATION.
If a court determines that a particular dispute, remedy, or part of this section cannot lawfully be arbitrated or waived, that portion will proceed in an appropriate court and the remainder of this section will continue to apply to the extent enforceable. Nothing here prevents either party from seeking emergency injunctive relief where permitted by law.
We may update these Terms from time to time. If a change is material, we will provide notice through the Service, by email, or by another reasonable method before the change takes effect when required by law. The updated Terms will state their effective or last-updated date. Continued use after an update takes effect constitutes acceptance to the extent permitted by applicable law. If you do not agree to an updated term, you may stop using the Service and cancel any paid subscription.
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except where applicable law provides otherwise; ProQuote may assign them in connection with a merger, acquisition, financing, reorganization, or sale of substantially all relevant assets, subject to applicable law.
